These Terms and Conditions ("Terms") govern your use of https://xo-cat.com (the "Site") and any purchase made from XO·Cat. By accessing the Site or placing an order, you agree to be bound by these Terms.

2. Eligibility

By placing an order, you confirm that:

  • you are legally capable of entering into a binding contract
  • the information you provide is accurate and complete
  • your billing and shipping details are correct and up to date

3. Products and Availability

XO·Cat offers products through a third-party supplier and fulfillment network. Product availability may change at any time without notice.

We reserve the right to:

  • limit quantities
  • discontinue products
  • modify product descriptions, pricing, or availability
  • refuse or cancel orders where necessary

Product images and descriptions are provided for general information. Minor differences in color, finish, packaging, or appearance may occur.

4. Orders

Your order is an offer to purchase. All orders are subject to acceptance by XO·Cat.

We may reject, refuse, or cancel an order at our discretion, including where there is:

  • suspected fraud or unauthorized activity
  • a pricing, listing, or technical error
  • payment failure
  • stock or fulfillment constraints
  • incomplete or incorrect shipping information

If we cancel an order after payment has been received, we will refund the amount paid.

5. Pricing, Currency, Taxes, and Customs

Unless otherwise stated:

  • all prices are shown in USD
  • shipping charges, if any, are shown at checkout
  • prices do not include customs duties, import taxes, or similar local charges unless expressly stated

You are responsible for any customs duties, import taxes, or local fees imposed by authorities in your destination country.

6. Payment

Payment must be completed at checkout using one of the payment methods made available on the Site.

We reserve the right to suspend or cancel an order if payment is declined, reversed, or reasonably suspected to be fraudulent.

7. Fulfillment, Shipping, and Delivery

Orders are processed through our supplier and logistics network. Processing and shipping times may vary depending on the product, destination, and operational conditions.

You acknowledge that:

  • some items may ship separately
  • delivery estimates are estimates only and not guaranteed
  • delays may occur due to carriers, customs, weather, peak periods, or other circumstances outside our reasonable control

8. Cancellations and Order Changes

Because order processing may begin shortly after purchase, we cannot guarantee that changes or cancellations can be made once an order has been placed.

If you need to request a change or cancellation, contact us as soon as possible at hello@xo-cat.com. If the order has already entered processing or shipment, we may be unable to cancel or amend it.

9. Returns, Refunds, and Replacements

Our Refunds & Returns Policy is incorporated into these Terms by reference.

In summary:

  • we do not accept returns or exchanges for change of mind, incorrect selection, or personal preference
  • we may offer a replacement or refund where an item arrives damaged, defective, or materially different from what was ordered
  • customers must report eligible issues within the timeframe stated in the Refunds & Returns Policy and provide reasonable supporting evidence, including photos where required

10. Address Accuracy

You are responsible for providing a complete and accurate shipping address.

If an order is delayed, returned, lost, or undeliverable because of incorrect or incomplete address information provided by you, we may not be able to offer a refund, replacement, or free reshipment.

11. Promotions and Pricing Errors

Promotions, discount codes, and special offers may be subject to separate conditions, including expiry dates, product exclusions, and usage limits.

If we discover a pricing, description, or technical error affecting your order, we reserve the right to cancel the order and refund any amount paid.

12. Intellectual Property

All content on the Site, including text, graphics, logos, branding, images, layout, and design elements, is owned by or licensed to XO·Cat and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, publish, display, or otherwise use Site content without our prior written consent.

13. Prohibited Use

You agree not to:

  • misuse the Site
  • attempt unauthorized access to any system or data
  • interfere with the operation or security of the Site
  • use the Site for fraudulent, unlawful, or abusive purposes

We reserve the right to restrict or terminate access where misuse is suspected.

14. Disclaimer

To the maximum extent permitted by applicable law:

  • the Site and its content are provided on an "as is" and "as available" basis
  • we do not guarantee uninterrupted or error-free access to the Site
  • we do not guarantee that product images or colors will display identically on all devices
  • we do not guarantee delivery within any estimated timeframe

Nothing in these Terms excludes or limits rights that cannot be excluded or limited under applicable law.

15. Limitation of Liability

To the maximum extent permitted by applicable law, XO·Cat shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Site or any purchase made through it.

To the maximum extent permitted by law, our total liability for any claim relating to an order shall not exceed the amount actually paid for that order.

Nothing in these Terms limits liability where such limitation is prohibited by law.

16. Indemnity

You agree to indemnify and hold XO·Cat, its affiliates, service providers, and representatives harmless from claims, liabilities, damages, losses, and reasonable costs arising out of:

  • your breach of these Terms
  • your misuse of the Site
  • your violation of any law or the rights of a third party

17. Governing Law and Disputes

These Terms shall be governed by the applicable laws of the United Arab Emirates, unless mandatory consumer protection laws in your jurisdiction apply.

If a dispute arises, you agree to contact us first at hello@xo-cat.com and give us a reasonable opportunity to try to resolve the matter informally.

If the dispute cannot be resolved informally, it shall be submitted to the competent courts of Dubai, United Arab Emirates, unless applicable law requires otherwise.

18. Changes to These Terms

We may update these Terms from time to time. The version in force at the time of your purchase will apply to that order.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
